Fidelidade e adaptação contratual : o problema da estabilidade da relação contratual em face à alteração das circunstâncias negociais

Abstract

A tese examina o princípio da fidelidade contratual (pacta sunt servanda) e sua relação com a adaptação dos contratos diante de mudanças imprevistas. O estudo aborda a aparente tensão entre a adaptação contratual e a obrigatoriedade de cumprimento, argumentando que adaptar contratos reforça o vínculo contratual, ajustando-o às novas realidades. Discute-se a fidelidade ao contrato como um elemento fundamental na sociedade e no direito contratual, destacando sua evolução histórica, desde promessas primitivas até a qualificação jurídica moderna. Analisa-se a fidelidade contratual, desdobrada em três elementos conceituais: vinculação contratual (Vertragsbindung), fidelidade à prestação (Leistungstreue) e o princípio do cumprimento natural (Grundsatz der Naturalerfüllung). Explora-se, ao final, como o direito brasileiro e alemão lidam com mudanças imprevistas, enfatizando que as adaptações contratuais são uma expressão da fidelidade ao contrato, ao se preservar o vínculo inicial frente a circunstâncias extraordinárias. A capacidade de adaptar contratos é essencial para a garantia das relações contratuais, especialmente em contextos de crises sistêmicas.

This thesis examines the principle of sanctity of contract (pacta sunt servanda) and its relationship with the adaptation of contracts in the face of unforeseen changes. The study addresses the apparent tension between contractual adaptation and the obligation to perform, arguing that adapting contracts strengthens the contractual bond by adjusting it to new realities. It discusses the principle of sanctity of contract as a fundamental element in society and in contract law, highlighting its historical evolution from primitive promises to modern legal qualifications. Contractual fidelity is analyzed, broken down into three conceptual elements: contractual binding (Vertragsbindung), fidelity to performance (Leistungstreue) and the principle of natural fulfillment (Grundsatz der Naturalerfüllung). Finally, it explores how Brazilian and German law deal with unforeseen changes, emphasizing that contractual adaptations are an expression of fidelity to the contract, by preserving the initial bond in the face of extraordinary circumstances. The ability to adapt contracts is essential for ensuring contractual relations, especially in contexts of systemic crises.

Diese Arbeit untersucht den Grundsatz der Vertragstreue (pacta sunt servanda) und seine Beziehung zur Anpassung von Verträgen angesichts unvorhergesehener Veränderungen. Die Studie befasst sich mit dem scheinbaren Spannungsverhältnis zwischen Vertragsanpassung und Erfüllungspflicht und argumentiert, dass die Anpassung von Verträgen die vertragliche Bindung stärkt, indem sie an neue Realitäten anpasst. Sie erörtert die Vertragstreue als grundlegendes Element in der Gesellschaft und im Vertragsrecht und beleuchtet ihre historische Entwicklung vom primitiven Versprechen bis zur modernen rechtlichen Qualifikation. Die Vertragstreue wird analysiert und in drei konzeptionelle Elemente unterteilt:Vertragsbindung, Leistungstreue und der Grundsatz der Naturalerfüllung. Schließlich wird untersucht, wie das brasilianische und das deutsche Recht mit dem Wegfall der Geschäftsgrundlage umgehen. Dabei wird hervorgehoben, dass vertragliche Anpassungen ein Ausdruck der Vertragstreue sind, indem die ursprüngliche Bindung angesichts außergewöhnlicher Umstände erhalten bleibt. Die Fähigkeit zur Vertragsanpassung ist eine wesentliche Voraussetzung für die Gewährleistung vertraglicher Beziehungen, insbesondere im Kontext von Systemkrisen.
