Best knowledge qualifier e sua aplicação no direito brasileiro : uma análise sobre os efeitos da moduladora do melhor conhecimento nas declarações e garantias

Abstract

O presente trabalho visa a delinear os efeitos da inserção da moduladora do melhor conhecimento quando aplicada em cláusulas de declarações e garantias no contexto jurídico brasileiro, cuja motivação se vincula à intensa utilização de tais mecanismos contratuais, sem que haja, muitas vezes, o devido cuidado. Assim, em primeiro momento busca-se averiguar a aplicação do best knowledge qualifier no sistema de common law, seu sistema de origem, destacando o pano de fundo jurídico de tais sistemas e os pontos necessários à melhor compreensão do tema e das controvérsias a ele relacionadas. Na sequência, investiga-se os resultados do transplante jurídico realizado ao direito brasileiro, abordando especificamente as questões relativas aos deveres informativos nacionais, assim como a disciplina geral das declarações e garantias. Sobre a aplicação da moduladora do melhor conhecimento em si, tratase de ambos os efeitos por ela gerados, especificando os limites da responsabilidade e do dever de autoinformação do declarante que se utiliza da moduladora e a presunção gerada pela inserção do referido mecanismo contratual, atentando, ainda, para os aspectos probatórios vinculados à presunção.

This paper discusses the effects generated by the inclusion of the best knowledge qualifier when applied to representations and warranties clauses in the Brazilian legal context, whose motivation is linked to the intense use of such contractual mechanisms without the due precaution. Thus, in the first instance, the paper investigates the application of the best knowledge qualifier in the common law, its original legal system, highlighting the legal context of such system and the necessary issues to better address the discussion and the linked controversies. Then, the paper describes the results of the legal transplant carried out to the Brazilian law, addressing specifically the issues related to the informational duties, as well as the general representations and warranties discipline. Regarding the application of the best knowledge qualifier in the Brazilian law, the paper analyses the two effects generated by it, specifying the limitation on the vendor’s liability and on its duty to acknowledge once it includes the qualifier and the presumption generated by such contractual mechanism, addressing the evidential aspects linked to the presumption.
