Este trabalho visa a estudar as possibilidades, os limites e as formas de atuação dos árbitros em litígios que envolvem desequilíbrio contratual superveniente. Toma como lindes o direito material brasileiro – tanto no que concerne à doutrina da excessiva onerosidade superveniente quanto no que permite a utilização de cláusulas de hardship – e os chamados “contratos de duração” – em exclusão daqueles que têm adimplemento pontual ou preparado, conforme conceitos que igualmente são abordados no trabalho. O estudo parte da comparação que se pode estabelecer entre o labor arbitral e o labor judicial. Tanto por isso, procura, numa primeira fração (Parte I), examinar as aproximações e os distanciamentos gerais entre ambas as figuras, mormente sob a díade “jurisdição” e “contrato”. Numa segunda fração, por conseguinte, examina as semelhanças que se estabelecem nos casos específicos de revisão, resolução e renegociação do contrato por desequilíbrio superveniente (Parte II); e numa terceira detém-se nas circunstâncias que podem diferenciar a atuação do árbitro da atuação do juiz (Parte III), por obra da autonomia privada na escolha do direito aplicável. ...

This work aims at studying the possibilities, the limitations and the ways that arbitrators follow in hardship disputes. Its focus is the Brazilian substantial law – the doctrine of “excessiva onerosidade superveniente” and the use of hardship clauses – and the so-called “longterm contracts” – not including those with “punctual” or “prepared” performance, concepts that are also discussed below. This work aims at studying the possibilities, the limitations and the ways that arbitrators follow in hardship disputes. Its focus is the Brazilian substantial law – the doctrine of “excessiva onerosidade superveniente” and the use of hardship clauses – and the so-called “longterm contracts” – not including those with “punctual” or “prepared” performance, concepts that are also discussed below. The study departs from a comparison between arbitrators and judges. Consequently, in a first analysis (Part I), it intends to examine the general similarities and differentiations between both occupations, especially under the dyad “jurisdiction” and “contract”. In a second analysis, it examines the similarities detected in the specific contractual revision, resolution and renegotiation cases (Part II); and in a third analysis, it deals with circumstances that may establish differences in the conduct of an arbitrator (Part III), as a result of party autonomy related to choice of law. ...
