O presente trabalho estuda a possibilidade de se limitar a exigência de pagamento do preço pelo comprador frente ao instituto da Mitigação de Danos no âmbito da Convenção Internacional de Compra e Venda de Mercadorias (CISG) a partir de analise doutrinária, de legislação e jurisprudencial. Em um primeiro momento, será estudada a estrutura da Convenção de Viena, especialmente no que se refere a sua fundamentação principiológica. Na sequência, será apresentado o conceito e delimitada a aplicação do remédio da execução específica do contrato. Já na segunda parte deste trabalho, será analisado o princípio da mitigação de danos: sua criação, natureza e fundamentação, além de sua relação com o princípio da razoabilidade e seu escopo de aplicação. Com o intuito de melhor compreensão do instituto, ainda no decorrer da segunda parte deste trabalho, são examinados casos que o aplicaram direita ou indiretamente em suas decisões. Por fim, é realizada uma conexão entre os institutos estudados, a fim de demonstrar circunstâncias em que o dever de mitigação poderá impedir o exercício pleno do direito à execução específica do contrato. Conclui-se pela limitação do direito do vendedor em exigir o pagamento do preço nos casos em que essa medida se mostre em desacordo com a boafé nas relações contratuais. ...

This work attempts to examine the possible limitation on the requirement to pay the price in the light of the principle of mitigation of loss on the Convention of Contracts for the International Sale of Goods (CISG) from a doctrinal, legislative and jurisprudential analysis. The first part of this work starts by studying the structure of the Vienna Convention, in particular with respect to its founding principles. It then presents the concept of the remedy of specific performance of the contract and delimits its application. The second part focuses on the analysis of the principle of damage mitigation: its creation, nature, grounds, scope of application, and its relation with the principle of reasonableness. With the intent to enhance the comprehension of this principle this part also examines cases where this principle was directly or indirectly applied in its judicial decisions. Finally, this work connects the principles studied to demonstrate circumstances in which the duty of mitigation may prevent the full exercise of requirement for the specific performance of the contract. It concludes in favor of limiting the seller’s right to claim the payment of the price in cases where such a measure is in disagreement with the good faith principle. ...
