A resolução do contrato pelo vendedor nos contratos regidos pela Convenção de Viena de 1980

Abstract

O presente trabalho trata de verificar sob quais hipóteses poderá ocorrer o término de contrato regido pela Convenção das Nações Unidas para Compra e Venda Internacional de Mercadorias de 1980 (CISG), com atenção para casos fundados em violações cometidas pela parte compradora. Tendo em vista o tratamento internacional sobre o tema, bem como a recente internalização da Convenção no Brasil, serão verificadas sob quais hipóteses poderá o vendedor, em face de violação contratual cometida pelo comprador, terminar o seu contrato regido pela CISG. Ao longo do trabalho são analisados julgados de tribunais estatais e arbitrais, delineando-se quais seriam as obrigações essenciais da parte compradora, quais seriam as hipóteses de resolução pela parte vendedora e, por fim, quais casos baseados em violação contratual pelo vendedor seriam capazes de ensejar o término do contrato da CISG. Ao fim, são expostos em que casos e quando poderá o vendedor extinguir sua relação contratual com a parte compradora.

The present work aims to verify which cases may trigger the termination of a contract under the United Nations Convention on International Sales of Goods of 1980 (CISG), with focus in cases where the breach has been committed by the buyer. Bearing in mind the international study concerning the topic, as well as the recent internalization of the Convention in Brazil, this study will verify under which cases the seller may avoid its contract due to a breach committed by the buyer in a contract governed by the CISG. Throughout this work, several decisions from state courts and arbitral awards are analyzed, in order to establish which are the essential obligations of the buyer, as well as to find what are the cases where the contract may be avoided by the seller and, in the end, which cases where the buyer has breached the contract may trigger a termination of contract under CISG. Finally, there will be shown the cases where the seller may terminate its contractual relationship with the buyer.
